1. Definitions
“Services” means the web, mobile, marketing, data, automation and related professional services described in a proposal, quotation, order or statement of work agreed between you and the Company. “Deliverables” means the work products created for you under an engagement.
2. Acceptance of Terms
By using the website or engaging our Services, you confirm that you are at least 18 years of age and legally capable of entering into a binding contract. If you do not agree with these Terms, please do not use the website or our Services.
3. Scope of Services
The Company will provide the Services as set out in the applicable proposal or statement of work. Any work beyond the agreed scope may be subject to additional charges, which will be communicated and approved before commencement.
4. Fees & Payment
- All fees are quoted and payable in Indian Rupees (INR) unless otherwise agreed in writing.
- Online payments are processed through our authorised payment gateway, Razorpay. We do not store your card, UPI or bank credentials on our servers.
- Unless otherwise stated, an advance is payable to commence work, with the balance due as per the agreed milestone or completion schedule.
- Applicable taxes, including GST, will be charged in addition to the quoted fees where applicable.
- Overdue invoices may attract interest and may result in suspension of Services until cleared.
5. Client Responsibilities
You agree to provide timely access, content, approvals and accurate information required to deliver the Services, and to ensure you hold all necessary rights to materials you supply to us.
6. Intellectual Property
The Company retains all rights to its pre-existing tools, frameworks, code libraries and methodologies. Upon full and final payment, ownership of the bespoke Deliverables created specifically for you transfers to you, excluding such pre-existing materials and any third-party components, which remain governed by their respective licences.
7. Disclaimer of Warranties
Except as expressly stated in a signed agreement, the Services and website are provided on an “as is” and “as available” basis. We do not warrant that the Services will be uninterrupted or error-free, or guarantee specific business outcomes such as search rankings, traffic or revenue.
8. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special or consequential damages. Our total aggregate liability under any engagement shall not exceed the amount paid by you to the Company for the specific Service giving rise to the claim.
9. Indemnity
You agree to indemnify and hold harmless the Company, its directors, officers and employees against any claim, loss or expense arising out of your content, your breach of these Terms, or your violation of applicable laws or third-party rights.
10. Termination
Either party may terminate an engagement in accordance with the terms of the applicable statement of work. On termination, you remain liable to pay for all Services rendered and costs incurred up to the date of termination.
11. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts at Patna, Bihar, India.
12. Changes to These Terms
We may update these Terms from time to time. Updates take effect when posted on this page with a revised “Last updated” date. Continued use of the website or Services constitutes acceptance of the revised Terms.
